Product

Although most of its functionality such as the automatic generation of Screed Elevation Tables is applicable to many bridge types, Pro / Bridge - Geometry is intended for the geometric modeling of Slab-on-Pre-cast concrete Girder and Slab-on-Steel Girder type bridges.

Terms and Conditions of Sale

In these Terms and Conditions "Seller" means Pro / Bridge Engineering and "Buyer" means the person, company or institution that buys or agrees to buy goods or services from the Seller. "Goods" means the goods specified in the Seller's invoice.

Conditions

These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer to the exclusion of any terms and conditions specified by the Buyer. No variation of these Conditions shall be effective unless agreed in writing by the Seller. Nothing in these Conditions shall affect the statutory rights of any consumer.

Ownership

All software programs, including any electronic recorded media, manuals or security devices (collectively the "Software Program") remain at all times the property of Pro/Bridge Engineering. ("Licensor"). Licensor grants to Licensee only a nonexclusive, nontransferable license to use the Software Program in accordance with the terms of the appropriate signed License Agreement.

All software products are licensed (not sold) in accordance with the terms expressed in the documentation included with the Goods. Any license granted is personal to the Buyer.

License Types

A- Free 30-Day Demonstration License.

This license type is built on the "Try-before-you-buy" concept. Qualified companies and individuals are granted one time free 30-day demonstration license. The license is not tied to any one computer and hence the software could be used by many potential users. The Demo includes example files, User's Manual and is meant to help the user to navigate through the system's features without having to spend too much time in training. The software does not permit the user to open new project files or to permanently alter the nature of the existing project files. B-Purchased License

A purchased license grants the Licensee unlimited use of a particular Software Program on one computer and a one year of full support, software upgrades and maintenance. The software upgrades and support can be renewed for additional periods of one year.

Lease License holders wishing to transfer their license to another computer, their license is switched to the alternative computer at no extra charge. Note however, that this facility is only available at the time of an upgrade. Once a version upgrade has been supplied for a given vendor's computer(s), the license holder has effectively committed themselves to that computer until their next upgrade.

Security Protection

All purchased single-user licenses have security protection schemes implemented.

Maintenance and Support

The nature, availability and lifetime of any free technical support service offered by the Seller with respect to the Seller's software products will be at the sole discretion of the Seller.

A Maintenance and Support Agreement covers technical support, software error corrections, and all upgrades to the purchased Software Program for one full year. Maintenance and Support agreements may only be purchased by Licensees who have the most current version of the Software Program.

Liability

The extent of the Seller's liability to the Buyer for any default or breach howsoever arising shall in no case exceed the invoice value of the goods and the Seller shall in no circumstances whatsoever be liable to the Buyer or to third parties in respect of any direct, indirect or consequential loss or damage.

No Waiver

The failure by the Seller at any time or for any period to enforce any one or more of these Terms and Conditions shall not be a waiver of them or a waiver of the right to enforce such Terms and Conditions on a future occasion.

Law

Each of the above conditions shall be read and construed independently of each other so that if one or more is held to be unlawful it shall not affect the validity or enforceability of the remainder of the conditions. These Terms and Conditions shall be construed in accordance with Canadian law.

Prices

Subject to the conditions of sale listed below, the cost of software includes:  the software, Manual (on CD), lease to use the Software Program, including one year of support and maintenance.  The cost excludes applicable taxes and shipping charges . All prices quoted in paper or electronic price lists are subject to confirmation at time of order and are exclusive of applicable taxes, which will be chargeable in accordance with legislation current at the date of supply.

The cost of a new license for Pro/Bridge Geometry V4.0 software is :

2.     Renewal of Existing Licenses

The cost of renewal of an existing software license for an additional year is 20% of the cost of a new license.

Educational Discount

Educational institutions may purchase special licenses at discounts of up to 75% off of the listed prices. Software issued under an educational license may only be used for teaching, research, and certain other restricted uses

Currency and Payment

CANADA : Canadian orders are billed in CAN$ using currency conversion rate at time of invoice. Payment should be made by cheque drawn on a Canadian bank.

USA: US orders are billed in US$. Payment should be made by US$ cheque drawn on a Canadian bank or by wire transfer to our Canadian bank account. Bank details are provided on our invoice.

Rest of the World: All other orders are billed in US$. Payment should be made by wire transfer to our Canadian bank account (bank details are provided on our invoice) or by CAN $ or US$ cheque or bank draft, drawn on a Canadian bank .

Immediately after receiving your order, a sale invoice will be sent to you by email and once your payment is approved, your order will be processed and delivered with a receipt of payment as instructed in your order.
